Terms of Service

Rules for using the Tandemio platform — for both Brands and Creators. Written so you can actually understand them.

Plain language summary

Tandemio is an influencer marketing marketplace that connects Brands and Creators. It is operated by Signal Core s.r.o., a Czech company based in Prague.

You sign up, we provide the platform, you use it under these rules. We are not a party to the contracts between Brand and Creator — we only provide tools (tracking, wallet, invoicing, dispute resolution).

Tandemio takes 10% of the bid on CPC campaigns (creator gets the full bid, brand pays an extra 10%). On CPA campaigns we take 5% of the order value (creator gets the full agreed commission). When the creator withdraws from wallet to bank, Tandemio also takes 10% of the payout amount. No setup fee, no monthly plan. Details on the Pricing page.

1. Scope and acceptance

These Terms apply to use of the Tandemio platform at tandemio.app and related APIs / apps. By signing up or using the platform you confirm that you have read, understood and accepted these Terms.

If you act on behalf of a company, you represent you have authority to bind that company. If you do not agree, do not use the platform.

Tandemio is a B2B platform. Consumer law (CZ Act 89/2012 Coll. § 1810 et seq., EU Directive 2011/83/EU) does not apply to accounts registered as business entities; we still protect consumers where required by law (typically Creators registered as natural persons).

2. Definitions

  • Platform — Tandemio website, API, mobile apps and related services
  • Brand — "brand" account type: a company or self-employed person promoting products / services
  • Creator — "creator" account type: an individual (registered or unregistered) producing content for Brands
  • Campaign — a specific advertising collaboration on the platform between a Brand and a Creator
  • Conversion — a measured user action (click, sale, lead) via the Creator’s tracking link
  • Commission — the Creator’s reward for a successful conversion (CPC, CPA, fixed fee, barter)
  • Tandemio fee — platform fee: 10% of the bid on CPC, 5% of order value on CPA
  • Wallet — internal Brand / Creator account balance in EUR / CZK / other currencies
  • Postback — server-to-server message from the Brand’s system confirming a conversion

3. Account, eligibility and security

You must be 18+ (Creator) or a business entity (Brand) in the EU/EEA or a country with an EU information-exchange agreement.

You provide truthful registration details (name, contact, business ID / VAT ID if any). Brands undergo KYC verification via Stripe Identity or Sumsub. Creators must verify at least one social profile.

  • One account per person / company — duplicate accounts may be terminated without payout
  • Password and 2FA — strong password (12+ chars) and we recommend 2FA. You are responsible for credential security
  • No sharing — sharing account access with third parties is a breach of these Terms
  • Sanctioned countries — we do not register users from countries under EU/UN sanctions (Russia, Belarus, North Korea, Iran, Syria, etc.)

Tandemio reserves the right to refuse registration or require additional verification, particularly on suspicion of fraud or rule violation.

4. Brands and Creators — separate roles

An account is either a Brand OR a Creator, never both at the same time. If you want to act in both capacities, create two separate accounts.

  • Brand: launches campaigns, approves conversions, pays commissions. Must have a funded wallet.
  • Creator: applies for campaigns, publishes content, drives conversions, receives payouts. Must have a verified profile.

A direct contractual relationship arises between Brand and Creator for each campaign. Tandemio is a third-party tool provider — not a party to that contract, not liable for content, performance, or disputes outside the platform.

5. Fees and payments

Tandemio fee is charged to the brand on top — the creator always receives the full agreed reward into their wallet. CPC: brand sets a bid (e.g. €0.30/click). Wallet credit €0.30, Tandemio fee = 10% of bid = €0.03, brand pays €0.33/click. CPA: brand sets a commission (e.g. 10% of order). Customer buys for €100. Wallet credit €10, Tandemio fee = 5% of order = €5, brand pays €15. Hybrid CPA: a CPA campaign may optionally include a per-click bid. The creator then earns a reward for each verified click PLUS commission on conversions, billed under the CPC and CPA rules respectively. When the creator withdraws from the wallet (IBAN, PayPal, crypto), Tandemio takes 10% of the payout amount (e.g. payout of €100: creator receives €90, Tandemio keeps €10).

  • Brand wallet — prepaid balance in EUR/CZK/PLN/HUF/USD; top up via Stripe (card or SEPA)
  • FX rate — for non-EUR campaigns we apply ECB rate + 1.5% spread; rate locks at conversion creation
  • Invoice — monthly VAT-compliant invoice (PDF + EDI) for platform fees
  • Creator payouts — Stripe / PayPal: 1–3 days, IBAN: 2–5 days, €20 minimum
  • Balance refund — unused Brand wallet funds are refundable (5–10 days, returned to original payment source)

On unjustified chargeback or payment cancellation we reserve the right to block payouts and seek reimbursement. Fee rates (10% bid CPC / 5% order CPA) may change — users will be notified at least 30 days in advance.

6. Campaign rules

Brand publishes campaigns with a clear brief, available wallet budget, and a defined metric (CPC / CPA / fixed / barter). Post-launch changes are allowed only insofar as they do not violate already running collaborations.

  • Creator approval — Brand may accept / decline a Creator (no penalty for either side). Once approved, the Creator gets a tracking link and brand assets
  • Conversion approval — Brand has 30 days from the conversion to approve / reject. If no action within 30 days, the conversion auto-approves
  • Anti-fraud — clicks / conversions with fraud score ≥ 80 are never billed. Score 50–79 enters manual review
  • Fair rejection — Brand may only reject conversions that broke the rules (returns, fraud, false identity). Unfair rejections may be escalated to Tandemio support
  • Disclosure — the Creator must label content as advertising / collaboration per applicable law (CZ Act 40/1995 Coll., DE TMG § 5–6, EU AVMSD 2018/1808)

7. Content, IP and licensing

Anything the Creator produces under a campaign (text, photo, video, audio) remains the Creator’s property. The Creator grants the Brand a licence as agreed in the campaign brief.

  • Default licence — unless the brief says otherwise: non-exclusive, non-transferable use of content on the Brand’s own channels for 12 months, no sublicensing
  • Tracking pixel and brand assets — Brand grants the Creator a licence to use its logo / visuals to promote the product within the campaign
  • Tandemio licence — by uploading content on the platform you grant Tandemio a non-exclusive right to display it in the platform context and in marketing materials (case studies); revocable
  • Third-party rights — the Creator warrants that content does not infringe copyrights, trademarks, or personality rights

8. Prohibited conduct

The following lead to suspension and may give rise to damages claims:

  • Bot traffic, fake clicks, pixel stuffing, hidden iframes
  • False identity, duplicate accounts, registration under another person’s name
  • Self-promo: a Creator may not click their own tracking links
  • Cookie stuffing, forced clicks, retroactive postbacks without consent
  • Distribution of illegal content (CSAM, drugs, weapons, disinformation)
  • Infringement of third-party rights (copyright, trademark)
  • Spam, scraping, unauthorised API calls above rate limit
  • Reverse engineering, security breach attempts, DDoS
  • Money laundering, terrorism financing, sanctioned territories

9. Suspension, restriction and termination

Tandemio may restrict / suspend / terminate an account at any time on:

  • Breach of these Terms
  • Reasonable suspicion of fraud or abuse
  • Order from a court, regulator, or law enforcement
  • Failure to provide mandatory tax data (DAC7 — see DAC7 Notice)
  • Inactivity > 24 months (with 60-day notice)

On suspension you usually receive a notice and 14 days to remedy (except for severe violations, where we act immediately). On termination: wallet credit balance is refunded within 30 days (less any due fees).

You may close your account anytime in Settings → Account → Delete account. Deletion is irreversible, but tax and accounting data are retained for the statutory period (10 years in CZ).

10. Liability and disclaimers

Tandemio provides the platform "as is". We aim for high availability but are not liable for:

  • Outages of the platform or third parties (Stripe, Polygon, Cloudflare, hosting)
  • Bad conversions caused by Brand-side bugs (poorly implemented postbacks)
  • Disputes between Brand and Creator outside the platform
  • Tax, legal, or financial decisions of users — Tandemio does not provide legal or tax advice
  • Data loss from causes outside our control (force majeure, cyberattack)

Tandemio’s maximum liability in any dispute is limited to the sum of fees paid by the user in the past 12 months, capped at €50,000. This cap does not apply to damages caused by intent or gross negligence.

11. Changes to these Terms

We may amend these Terms. For material changes (rates, key rules) we will notify you at least 30 days in advance by email and in-app banner.

If you disagree with the new Terms, you have the right to close your account before they take effect. Continued use after the effective date constitutes acceptance.

Minor changes (typography, typo fixes, clarifying wording without altering meaning) take effect immediately.

12. Disputes, mediation and governing law

These Terms are governed by the laws of the Czech Republic, excluding the CISG.

  • Mediation — before litigation both sides agree to attempt amicable resolution (30 days)
  • Jurisdiction — Municipal Court in Prague (operator’s seat)
  • EU consumers — you may use the EU ODR platform (ec.europa.eu/odr)
  • Czech consumers — Czech Trade Inspection Authority (adr.coi.cz)

13. DSA — Notice and Action

Under EU DSA 2022/2065 you may report illegal content or disinformation on the platform:

  • We respond within 48 hours on business days, 5 days for complex cases
  • On content removal or measure we provide a Statement of Reasons via the EU Commission’s Transparency Database

Trusted Flaggers (DSA-status reporters) get priority handling.

14. P2B compliance

If you are a business operating via Tandemio, EU Regulation 2019/1150 (P2B) applies:

  • Terms changes at least 15 days in advance (we use 30 days)
  • Transparent ranking parameters (how Creators / campaigns are displayed)
  • Reasons for restriction / suspension provided in writing
